Terms of Service
The agreement between your business and ftes.ai for using our Digital FTEs. These Terms are also the end-user license agreement for ftes.ai apps listed on third-party marketplaces.
Agreement and who may accept
These Terms of Service ("Terms") are an agreement between FISTA Solutions, ST Plaza, 3rd Floor, Kohinoor City, Faisalabad, Punjab, Pakistan ("ftes.ai", "we", "us"), and the business or organization that creates an account or uses the Services ("Customer", "you").
The Services are for business use. By creating an account, clicking to accept, or using the Services, you confirm that you are accepting on behalf of a business and have authority to bind it. If you do not agree, do not use the Services.
These Terms also serve as the end-user license agreement (EULA) for ftes.ai apps listed on third-party marketplaces, including the Intuit QuickBooks App Store. ftes.ai, not the marketplace operator, is the licensor of the app.

- "Third-Party Services": services you connect to ftes.ai, such as Google, Intuit QuickBooks, Shopify, Meta, WordPress, Webflow and Slack, and any AI provider whose key you supply.

License grant and restrictions
- Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license, during your subscription, for your Authorized Users to use the Services for your internal business purposes.
- You may not copy, modify or create derivative works of the Services.
- You may not reverse engineer, decompile or try to extract source code or model weights, except where the law expressly allows it.
- You may not resell, rent, lease or provide the Services to third parties as a service bureau.
- You may not circumvent usage limits, token metering or security controls.
- You may not use the Services to build a competing product, or benchmark them for publication without our written consent.
- You may not access the Services by automated means other than our documented APIs and connectors.
- The publishing package we distribute for installation on your own website is licensed under the license file included with it.
Accounts and organizations
- You must give accurate registration information and keep it current.
- You are responsible for your Authorized Users, their compliance with these Terms, and all activity under your account.
- Keep your credentials confidential, and tell us at security@ftes.ai as soon as you suspect unauthorized access.
- Account owners and admins control roles, permissions and which Digital FTEs your organization hires.
Your data
- Between you and us, you own your Customer Data and your Output.
- You grant us a limited license to host, copy, transmit and process Customer Data only as needed to provide, secure and support the Services, and as our Privacy Policy describes.
- We do not sell Customer Data, and we do not use it (including data from Third-Party Services) to train or improve AI models.
- You are responsible for having the rights and consents needed to submit Customer Data and to let the Services process it, including data about your own customers.
- Where you need one, a Data Processing Agreement is available from legal@ftes.ai and forms part of these Terms once signed.
Digital FTEs and AI output
- Digital FTEs use AI models that can produce output that is inaccurate, incomplete or unsuitable. Review Output before you rely on it or publish it.
- Actions that change your external accounts (for example publishing an article or changing an ad) run through the approvals you configure. You are responsible for the approvals you give and the autonomy settings you choose.
- When you connect a Third-Party Service or supply credentials, you authorize Digital FTEs to read from it and act on it within the permissions you granted, and you are responsible for those authorized actions.
- Output is not professional advice. Digital FTEs that work with financial, accounting or tax data do not replace a qualified accountant, auditor, tax adviser or lawyer.
- Similar requests from other customers may produce similar Output. You have no rights in other customers' Output.
Third-Party Services
- Your use of a Third-Party Service is governed by your agreement with its provider, and you are responsible for complying with it and paying its fees.
- We are not responsible for Third-Party Services, their availability, or changes to their APIs that affect the Services.
- You can disconnect a Third-Party Service at any time. When you do, we stop accessing it and delete the stored credentials.
- Intuit, Google, Shopify, Meta and other providers are not parties to these Terms and have no liability to you under them.
Acceptable use
- You may not use the Services to break any law, or to infringe or misappropriate anyone's rights.
- You may not send spam, deceptive content or content that impersonates someone.
- You may not upload malware, or probe or scan the Services without our written permission.
- You may not harass or abuse anyone, or generate unlawful, hateful or sexually exploitative content.
- You may not process data you have no right to, or use data from Third-Party Services in breach of their terms.
- You may not use Output to make automated decisions with legal or similarly significant effects on individuals without human review.
Fees, tokens and billing
- Subscriptions are billed in advance through Stripe for the plan you choose. Each plan includes a token allowance; AI work debits tokens from your organization's wallet.
- When the wallet is empty, AI work stops until you top up or upgrade; nothing is charged beyond your balance without your action.
- Work run on your own AI provider key is billed by that provider to you.
- Fees exclude taxes, which you are responsible for (other than taxes on our income).
- Fees are non-refundable except where these Terms or the law say otherwise. We give at least 30 days' notice of a price change, effective at your next renewal.
- If a payment fails, we may suspend the Services after notice. If the account is then closed, your data will be deleted unless you export it within the notice period we give you.
Confidentiality
- Each party will protect the other's non-public information with at least reasonable care, use it only to perform under these Terms, and disclose it only to people who need it and are bound by similar duties.
- This does not apply to information that is public, already known, independently developed, or lawfully received from a third party. Disclosure required by law is allowed, with prompt notice where the law permits.
Intellectual property and feedback
- We and our licensors own the Services, including the software, Digital FTE designs, prompts, models we develop, documentation and trademarks. No rights are granted except those these Terms expressly state.
- If you give us feedback or suggestions, we may use them without obligation to you.
Warranties and disclaimers
- Each party warrants that it has authority to enter into these Terms. We warrant that we will provide the Services with reasonable skill and care and will not materially reduce their security during your subscription.
- Otherwise, to the extent the law allows, the Services and Output are provided "as is" and "as available". We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Services will be uninterrupted, error-free or produce accurate Output.
Limitation of liability
- Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of the possibility.
- Each party's total liability arising from these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
- These limits do not apply to your payment obligations, to either party's indemnity obligations, or to liability that the law does not allow to be limited.
Indemnity
- We will defend you against third-party claims that the Services, as we provide them, infringe that party's intellectual property rights, and pay the resulting damages and costs awarded. This does not apply to claims caused by Customer Data, Third-Party Services, or use in breach of these Terms.
- You will defend us against third-party claims arising from your Customer Data, your use of Output, or your breach of these Terms or of a Third-Party Service's terms, and pay the resulting damages and costs awarded.
- The indemnified party must give prompt notice, reasonable cooperation and control of the defence. No settlement may impose an admission or obligation on the indemnified party without its consent.
Term, suspension and termination
- These Terms last while you have an account. You may cancel at any time from billing settings; cancellation takes effect at the end of the current period.
- Either party may terminate for a material breach that is not cured within 30 days of notice.
- We may suspend access immediately to prevent harm to the Services, other customers or third parties, or where the law requires it, and will restore it once the issue is resolved.
- After termination, you have 30 days to export your Customer Data. We then delete it as described in our Privacy Policy. We also stop accessing every connected Third-Party Service and delete its credentials.
- Sections that by their nature should survive (including your data, confidentiality, disclaimers, limitation of liability, indemnity and governing law) survive termination.
Governing law and disputes
- These Terms are governed by the laws of Pakistan, without regard to conflict-of-laws rules.
- The parties will first try to resolve any dispute in good faith by writing to each other. If it is not resolved within 30 days, the courts at Faisalabad, Punjab, Pakistan have exclusive jurisdiction.
- Either party may seek urgent injunctive relief in any competent court.
Changes to these Terms
- We may update these Terms. For a material change, we notify account owners by email or in the app at least 30 days before it takes effect.
- If you do not agree to a change, you may cancel before it takes effect. Continued use after the effective date means you accept it.
General
- These Terms, the Privacy Policy and any signed Data Processing Agreement or order form are the entire agreement on this subject. If they conflict, the signed document prevails.
- Neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of substantially all of its assets.
- Neither party is liable for delays caused by events beyond its reasonable control.
- If any provision is unenforceable, the rest remains in effect. A failure to enforce is not a waiver.
- The parties are independent contractors.
- Legal notices to us go to legal@ftes.ai; notices to you go to your account owner's email.
